WireAds provides supply-side and advertising network services: a unified auction that makes Publisher inventory available to demand sources including AdX, Google Ad Manager (MCM), Prebid-based demand, OpenRTB endpoints and Direct Deals; ad serving and rendering across formats such as display, video and native; reporting and analytics; and related support. We may modify or discontinue features from time to time, provided we do not materially reduce core functionality during a paid term without notice.

You must be at least 18 years old and able to form a binding contract. Publisher onboarding generally requires at least 500,000 monthly pageviews and successful completion of our compliance and quality review. You are responsible for the accuracy of registration information, for safeguarding your credentials, and for all activity under your account. Notify us immediately of unauthorised use; we may suspend an account we reasonably believe is compromised or in breach.

You must not: generate or incentivise invalid traffic, including non-human traffic, click fraud, ad stacking, forced redirects, hidden ads or automated imitations of human behaviour; interfere with or circumvent the auction, tags, measurement or security mechanisms; reverse engineer the Services except as permitted by law; upload or distribute malware; misrepresent traffic origin, content category or geography; use the Services for unlawful, deceptive, infringing or harmful content; or remove, obscure or alter any attributions, notices or tags we require. We may investigate suspected violations and share evidence of fraud with affected partners.

You represent that you own or are licensed to monetise the inventory you connect, that traffic is human and properly disclosed, and that each property complies with our content standards: no illegal content, no content that infringes intellectual property or privacy rights, no malware or deceptive practices, and no categories we flag during onboarding (for example certain regulated or adult categories) unless expressly approved in writing. Ads must render as served: no reframing, resizing beyond responsive scaling, or layering that obscures creatives without our consent.
Revenue share and rates are as agreed in your insertion order or account terms. We provide reporting through the dashboard; you must raise reporting disputes within 30 days of the report date, after which the report is deemed accepted. Payments to you follow the Payment terms section and your applicable Net 30 schedule once thresholds are met.

You are responsible for your campaigns, creatives, landing pages and targeting choices. You represent that creatives and claims comply with applicable advertising law, that you hold all necessary rights and licences, and that any data used for targeting was collected lawfully with a valid basis for its use in the campaign. We may reject or remove content that violates these terms, our brand-safety standards or law, and we are not liable for rejection decisions made in good faith.

Each party will protect the other's Confidential Information with at least the care it uses for its own, use it only to perform under these terms, and disclose it only to personnel and advisers bound by equivalent obligations. Except as expressly stated, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing in these terms limits warranties that cannot be excluded by law.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill, even if advised of the possibility. Each party's total aggregate liability under these terms is limited to the greater of (a) the fees paid or payable to or by the claiming party under the relevant account in the 12 months before the event giving rise to the claim, or (b) USD 500. These limits do not apply to liability for fraud, wilful misconduct, breach of confidentiality or intellectual-property indemnity obligations, or to amounts that cannot be limited by law.

You will defend and indemnify WireAds against third-party claims arising from your inventory, content, campaigns, targeting data, breach of these terms or violation of law, including reasonable legal costs. WireAds will defend and indemnify you against third-party claims that the Services, as provided by us and used as documented, infringe a patent, copyright or trademark, or indemnify as otherwise required by an insertion order. These terms apply while you use the Services or while an order is in force. Either party may terminate an account for convenience with 30 days' written notice. Either party may terminate immediately for material breach not cured within 15 days of notice, or without a cure period where termination is permitted by law. On termination: accrued but unpaid amounts remain payable; licences end; you must remove our tags; and we may retain data as described in the Privacy Policy and DPA. Sections that by their nature should survive (payment, confidentiality, IP, disclaimers, liability, indemnity, governing law) do survive.

These terms, together with insertion orders and policies expressly incorporated, are the entire agreement on their subject matter and supersede prior understandings. If a provision is unenforceable, the remainder stays in force and the parties will substitute a lawful provision reflecting the original intent. We may assign these terms in connection with a merger or sale of substantially all assets; you may not assign without our written consent, except to an affiliate. Failure to enforce a provision is not a waiver. Notices to us go to info@wireads.com or 944 N King St, Wilmington, DE 19801, US; notices to you go to your account email.
